The Board will be responsible for overall direction and control of the Company’s management and the formulation of policies to be applied in carrying out the objective.
In nominating, electing or appointing directors, Shareholders must endeavour to appoint directors purely on the basis of merit – following an assessment of the skills and experience of candidates, and so as to ensure that, collectively, the Board has the necessary skills and experience to efficiently and effectively govern the company in accordance with the best principles of corporate governance.

LYNN MASON
Term of Office: Appointed as Chairwoman by the shareholders in December 2006 for a period of three years and re-appointed for twelve months in September 2009.
Independent: Yes
Skills and experience: Lynn recently retired from Local Government, after 23 years as a Councillor on Flinders Island. During that time Lynn served three terms as President of the Local Government Association of Tasmania and three terms as Mayor. Lynn has a Bachelor of Arts [Qld] and is a Fellow of the Australian Institute of Company Directors. Lynn is a trustee director of Quadrant Superannuation, Chairwoman of the Board of the Tasmanian Community Fund, a director of Metro Tasmania, a member of the Local Government Board of Tasmania and a director of the family company, with interests in agriculture and fishing. PETER CUSICK
Term of Office: Appointed by the Community Shareholders as a director in December 2006 and re-appointed in September 2007 for a period of three years.
Independent: Yes
Skills and experience: Peter is the Business Manager for the Archdiocese of Hobart. Peter has a B.Comm [UTAS], is a Fellow of CPA Australia and a Graduate Member of the Australian Institute of Company Directors.
As Business Manager he is the Executive Director of Centacare Tasmania and has responsibility for the management of Catholic Church Administration, the Catholic Development Fund Tasmania and financial overview of all Archdiocesan financial activities and property matters. Peter is also Chairman of Blueline Laundry Incorporated. Board Committee Membership: Chairman, Audit and Finance Committee.

KAREN DAVIS
Term of Office: Appointed by the Ordinary Shareholder as a director in December 2006 for a period of three years and re-appointed for twelve months from September 2009.
Independent: Yes
Skills and experience: Karen is an architect and principal with CDA Architects. A member of The Australian Institute of Architects, Karen graduated as a Bachelor of Architecture at the University of Queensland, is registered as an architect in Tasmania and a registered building practitioner.
Karen is currently a member of the Tasmanian branch of the Australian Institute of Architects Chapter Council and is deputy chair of the Practice Committee.
Karen is a Board member of the Friends' School and is also a member of the Present and Future Facilities Committee. Board Committee Membership: Chairman, Tenancy Management Committee.

CRAIG DOHERTY
Term of Office: Appointed by the Community Shareholders as a director in December 2006 and re-appointed in September 2008 for a period of three years. Independent: Yes Skills and experience: Craig is a lawyer who specialises in Construction Law and has a Masters Degree in Construction Law from the University of Melbourne. He was a partner of Hobart firm Dobson Mitchell & Allport until May 2006. He is now a Senior Contracts Adviser at Hydro Tasmania. He is a member of the Housing Industry Association [HIA] and chair of its Industrial Relations and Legal Committee. He advises HIA on regulartory and policy issues affecting the industry.
Craig is a member of the Anglican Church, serving as Church Advocate of
the Diocese of Tasmania and Assistant Director of music at St David’s Cathedral.

TONY GIACON
Term of Office: Appointed by the Community Shareholders as a director in December 2006 and re-appointed in September 2008 for a period of three years.
Independent: Yes
Skills and experience: Tony moved to Tasmania from London in 1991. Tony has a background in business. Prior to leaving the UK, Tony managed an automotive parts import and wholesaling company with operations across the UK. Until November 2006 he was General Manager of The Nine Eleven Hotel Group joining the company in it’s infancy on his arrival in Tasmania. Tony’s responsibilities included staff, marketing, operations, policy, business development and investment. Tony is currently the General Manager of the Bleasel Family business group encompassing The Fountainside Hotel, The St Ives Motel & Apartments, Pharmaceutical Special Products Pty Ltd and the Animal Tuckerbox Chain. Tony chairs the Management Committee of St Vincent's Industries, an Australian Disability Enetrprise based on North Hobart, employing over 30 people with intellectual and physical disabilities.

DERRIS GILLAM (Chief Executive and Managing Director)
Term of Office: Appointed by the Board as Managing Director in February 2007.
Independent: No Skills and experience: Derris has been a senior executive with MBF Australia as General Manager Tasmania, General Manager New South Wales, Chief Executive of St John’s Private Hospital and the National Corporate Business Manager. He was Chief Executive of islandstate credit union. Derris was appointed Chief Executive Officer and Managing Director of Tasmanian Affordable Housing Limited in February 2007. He has Business degree and is a graduate of the Australian Institute of Company Directors advanced diploma course with an Order of Merit. He is a Fellow of CPA Australia and a Fellow of the Australian Institute of Company Directors [AICD]. Derris was a director of the Australian Private Hospitals Association, director of the Australian Institute of Credit Union Management and a member of the peak industry association for credit unions. He was National Chairman of CPA Australia’s Ethics Centre of Excellence. He is currently a director, Vice President and Treasurer of the Heart Foundation of Australia [Tasmania], a member of the Board of Governance of GP Assist Tasmania, and an AICD Councillor [Tasmania]. THE RT REV DR CHRIS JONES
Term of Office: Appointed by the Community Shareholders as a director in December 2006 and re-appointed in September 2007 for a period of three years and re-appointed in September 2009 for a period of three years. Independent: Yes Skills and experience: Chris is an Anglican Bishop who for the last twelve years has been the Chief Executive of Anglicare Tasmania Inc. Anglicare is one of the largest community service organisations in Tasmania with a turnover of $38 million and 600 plus employees. Anglicare provides a range of services including accommodation support options for Tasmanians who are homeless or at risk of homelessness. Chris has been a member of the Public Housing Board and the Commonwealth Advisory Committee on Homelessness. He has a Bachelor of Theology, a Diploma of Pastoral Studies, a Masters in Management and, a Doctor of Business Administration.
Chris is a Fellow of the Australian Institute of Management and a Fellow of the Australian Institute of Company Directors. Chris is a director of NILS Network of Tasmania Inc, O Group, TasCOSS, Regional Development Australia-Tasmania and a Trustee of the Diocese of Tasmania. RICHARD MCCREADIE
Term of Office: Appointed by the Ordinary Shareholder as a director in December 2006 for a period of three years and re-appointed for twelve months in September 2009. Independent: Yes Skills and experience: Richard recently retired as Commissioner of Tasmania Police after forty two years as a member of Tasmania Police. Richard was Deputy Commissioner for five years and Commissioner for twelve years. Richard was also Director of Emergency Services and Board Member/Director of the Tasmanian Institute of Law Enforcement Studies. Richard’s portfolio as Secretary of the Department of Police and Emergency Management involved a budget of around $200 million, 2,000 full-time employees and a large number of volunteers across Police, Fire, State Emergency Service and Forensic Science Service Tasmania. Richard is a graduate of the University of Tasmania majoring in Administration and Political Science and was awarded a Distinguished Alumni Award from the University of Tasmania for Service to the Community.
